Deed of Amendment to Schedule 1 (Release Conditions)
This Deed of Amendment is made on 19 Jul 2026 and amends Schedule 1 of DEED-2026-0417, the trust deed constituting mandate TRST-2026-0417 between the trustee, Origin Capital Partners Limited ("the Settlor") and Tranquil Trust Limited ("the Beneficiary").
Following a Settlor-approved variation to the roofing specification, the evidence requirement for Tranche 3 ("Roofing & envelope completion certified") is amended to require, in addition to the certified milestone report, a supplementary structural certification confirming the revised roofing assembly meets the approved building specification.
The amount and percentage attaching to Tranche 3, ₦21,200,000 (25.1% of the Trust Property), are unchanged. No other term of DEED-2026-0417 is affected.
This amendment requires counsel execution before Tranche 3 may proceed to certification, in accordance with the trustee's standing policy that amendments to an executed deed are not eligible for auto-execution regardless of value.
